The annual audit is mandatory, not optional

Founders sometimes assume that a dormant or lightly-traded Hong Kong company can skip the audit. It cannot — every Hong Kong limited company must have audited financial statements prepared by a Hong Kong CPA each year, filed alongside the Profits Tax return, regardless of turnover.

Offshore exemption has to be proven, not assumed

Using a Hong Kong company for international trade doesn't automatically make its profits offshore and tax-exempt. The IRD reviews where contracts were negotiated, where suppliers and customers are based, and where decisions were made — claims without solid supporting evidence are commonly challenged or rejected.

The Significant Controllers Register is a standing obligation

The SCR isn't a one-time filing — it must be kept accurate and up to date at all times, with changes in beneficial ownership reflected promptly. Companies are expected to make reasonable efforts to identify their controllers even where ownership sits behind a chain of entities.

DTAA relief needs a Tax Residency Certificate

The India-Hong Kong treaty doesn't apply automatically to reduce withholding tax on dividends, interest, or royalties. Claiming relief generally requires a Tax Residency Certificate and the correct forms filed on both sides before the payment, not after.
