Understanding OPC

What is a One Person Company, and who is it actually for?

Introduced under the Companies Act 2013, an OPC lets a single person incorporate a company where they are the sole shareholder and director, without needing a second person on paper.

A corporate structure without a co-founder requirement

A sole proprietorship is simple to start but offers no separation between the owner and the business — personal assets remain exposed to business liabilities. An OPC solves that by giving the sole owner a distinct legal entity and limited liability, while still keeping full control in one person's hands.

Since the Companies (Incorporation) Second Amendment Rules, 2021, OPCs can also scale without a statutory cap on turnover or paid-up capital forcing conversion, and Non-Resident Indians can now incorporate an OPC, alongside a reduced 120-day residency threshold for resident Indian founders.

01

Separate legal entity

The company, not the founder personally, holds the liabilities.

02

Single owner, full control

One person as both shareholder and director.

03

Nominee required

Named at incorporation to ensure business continuity.

04

No growth cap since 2021

Scale in turnover or capital without a mandatory conversion trigger.

Documents needed for OPC registration

Having these ready before filing begins is what keeps the process inside the typical 7–10 working day timeline.

✓

PAN card of the director & nominee

Mandatory identity proof for both parties.

✓

Address proof of the director & nominee

Aadhaar, passport, voter ID, or driving licence.

✓

Passport-size photograph

Of both the director and the nominee.

✓

Registered office address proof

Recent utility bill, plus rent agreement or ownership document.

✓

NOC from the property owner

Required if the registered office premises are rented, not owned.

✓

Nominee's written consent (Form INC-3)

Confirming their agreement to step in if the sole member is incapacitated.

How Registration Works

Five stages, 7–10 working days start to finish

01

Digital Signature Certificate

A Class 3 DSC is procured for the sole director, needed to sign every incorporation form.

02

Name Reservation

A unique name ending in "OPC Private Limited" is checked and reserved via SPICe+ Part A.

03

Nominee Appointment

A nominee is identified and their written consent obtained on Form INC-3.

04

SPICe+ Incorporation Filing

MOA, AOA, and supporting documents are filed via SPICe+ Part B with linked PAN, TAN and GST applications.

05

Certificate of Incorporation

Once approved, the Certificate of Incorporation is issued along with PAN and TAN.

OPC Registration Walkthrough — Step by Step

Our incorporation team explains digital signature procurement, name reservation, nominee appointment, and SPICe+ filing — the same five stages covered in the How It Works section above.

Transcript: This walkthrough explains OPC registration in five stages. First, we procure a Class 3 Digital Signature Certificate for the sole director, required to sign incorporation forms on the MCA portal. Second, we check and reserve a unique company name ending in "OPC Private Limited" through SPICe+ Part A. Third, we identify a nominee and obtain their written consent on Form INC-3, since every OPC must name someone who steps in if the sole member is incapacitated. Fourth, we file SPICe+ Part B with the Memorandum and Articles of Association, along with linked PAN, TAN, and GST applications. Fifth, once the Registrar of Companies approves the filing, the Certificate of Incorporation is issued along with PAN and TAN, and the OPC is ready to operate.

Getting the Certificate of Incorporation isn't the finish line — annual filings, nominee documentation, and the eventual decision to convert to a private limited company all follow. We set up your OPC with that full lifecycle in mind, not just the initial paperwork.

Nominee documentation done right

We help you choose and document a nominee who meets the eligibility criteria, avoiding a common rejection point.

Annual compliance calendar included

AOC-4, MGT-7A, and director KYC deadlines are tracked so your OPC stays in good standing.

What founders say after registering

I was running everything as a freelancer and client contracts kept asking for a company name, not my personal PAN. The OPC solved that without needing to find a co-founder.

Frequently Asked

OPC registration questions, answered

Under the Companies (Incorporation) Second Amendment Rules, 2021, only a natural person who is an Indian citizen can incorporate an OPC, whether resident in India or otherwise. Following the 2021 amendment, the residency requirement for a resident Indian was reduced from 182 days to 120 days in the preceding financial year, and Non-Resident Indians were also permitted to incorporate OPCs.
No. The earlier rule requiring mandatory conversion to a private or public company once paid-up capital crossed ₹50 lakh or average annual turnover crossed ₹2 crore was removed by the Companies (Incorporation) Second Amendment Rules, 2021, effective 1 April 2021. An OPC can now scale without a statutory cap forcing conversion, though voluntary conversion remains available whenever it suits the business.
Since an OPC has only one member, a nominee is legally required at incorporation to take over membership if the sole member dies or becomes incapacitated, ensuring the company continues to exist. The nominee must be a natural person, an Indian citizen, and cannot already be a member or nominee of another OPC; their written consent is filed on Form INC-3.
Yes. Following the 2021 amendment, an OPC can be voluntarily converted into a Private or Public Limited Company at any time, without the earlier requirement of waiting two years from incorporation. Conversion involves increasing the number of members and directors to meet the minimum requirement of the new structure.
Typically PAN and address proof of the sole director and nominee, a passport-size photograph, proof of the registered office address such as a utility bill and rent agreement or ownership document, and a No Objection Certificate from the property owner if the premises are rented.
OPC registration through SPICe+ typically takes 7 to 10 working days from document submission, assuming the proposed name is approved on the first attempt and there are no queries raised by the Registrar of Companies on the filed forms.
An OPC cannot be incorporated to carry out non-banking financial investment activities, including investing in securities of other corporate bodies, and it cannot be incorporated or converted into a company registered under Section 8 of the Companies Act, which covers non-profit entities.
A sole proprietorship has no legal identity separate from its owner, meaning personal assets are exposed to business liabilities. An OPC is a distinct legal entity under the Companies Act, giving the sole owner limited liability protection while still allowing them to be the only shareholder and director.
